The Salisbury Center – Event Rental Terms & Conditions Summary
General Overview:

Venue: The Salisbury Center, 8890 Mathis Ave, Manassas, VA 20110.
-
Parties: Agreement between Salisbury Hospitality Group LLC (“VENUE”) and the RENTER.

Purpose: Rental of event space for a specified event or events.
Use & Access:
-
RENTER operates independently and is not in partnership with VENUE.

Venue space, event date/time, and rooms to be used will be specified in separate Attachment A. Generally, rental times are limited to a 9 hour window but may be extended if in writing and by agreement.

Access to venue limited before the event for setup; event duration and breakdown time also defined in Attachment A.
Insurance & Liability:

RENTER must provide general liability insurance ($1M minimum) naming VENUE as an additional insured.

RENTER assumes risk for its own staff, vendors, and participants.

RENTER indemnifies VENUE for claims arising from RENTER’s use or misconduct.
-
VENUE indemnifies RENTER only for claims due to VENUE’s gross negligence.
Damage & Financial Responsibility:

RENTER is financially responsible for any property damage.

Costs may be deducted from security deposit; additional charges billed if deposit is insufficient.
Payments & Deposits:

Rental Deposit: 50% of venue fee plus Security Deposit must be paid to confirm event.

Security Deposit: Greater of $500 or 10% of venue fee, refundable post-event (minus damage charges).

Venue Fee: Non-refundable, due 14 days prior to the event.

RENTER retains 100% of ticket sales (after paying venue fee), but must use VENUE’s ticketing system unless agreed upon in writing by owner.
Bar, Food, AV, and Other Sales:

VA law prohibits revenue share from bar sales unless to franchisors, landlords, or employees.

VENUE retains all food, beverage income and all in-house services must be used unless agreed upon in writing by owner.

RENTER may receive discounts on future venue fees if combined food/beverage/AV sales exceed thresholds ($5,000+).
Operational Guidelines:

RENTER must use in-house/contracted AV, F&B, and ticketing services.

Outside food, drink, equipment, entertainment, or vendors require written approval.

Setup/cleanup is RENTER’s responsibility. Late removals incur hourly/daily fees.
Event & Patron Policies:

ALL events are subject to VENUE approval.

VENUE may deny events for safety, legal, or reputational risks.
-
Dress code and age policies enforced; under 21 restricted after 8 PM unless with guardian.
Staffing & Security:

VENUE manages entry security; RENTER must comply.

Maximum number of RENTER staff/security allowed to re-enter venue; must attend pre-event security meeting.

VENUE provides bar staff; RENTER provides other event staff.
Marketing & Promotional Use:

VENUE may use RENTER’s name/logo to promote the event.

RENTER may use VENUE branding to promote the event but must comply with contract terms.

RENTER covers its own marketing costs unless otherwise agreed.
Legal & Miscellaneous:

Governing Law: Virginia.
-
Confidentiality: Terms, pricing, and proprietary info are confidential.

Waiver: One party’s waiver of breach does not waive future breaches.

Force Majeure: VENUE and RENTER not liable for cancellations due to Acts of God, etc. RENTER’s failure to secure proper permits does not qualify as a reason to terminate contract and receive refund of deposits.

Entire Agreement: Binding once signed; changes must be in writing.
